  • (2) If the Consumer requests the performance of the Services to begin during the 14-day withdrawal period, the Consumer must submit an express request to that effect to the correspondence email address or to the Company's address. In such case, if the Consumer subsequently exercises the right of withdrawal before the Service is fully performed, the Consumer shall pay the Trader an amount proportionate to what has been actually provided up to the date of withdrawal notification, in relation to the total contract price, pursuant to Art. 55, para. 5 of the CPA.
  • (3) The Consumer shall not have the right of withdrawal under Art. 50 of the CPA where the Service has been fully performed, provided that the performance began with the Consumer's prior express consent and acknowledgment that they will lose the right of withdrawal once the contract has been fully performed by the Trader (Art. 57, item 1 of the CPA).
  • (4) Beyond the statutory distance withdrawal rights, the Trader may provide additional cancellation options, which shall be communicated via the Website interface.
  • (5) To exercise the right of withdrawal, the Consumer must notify the Trader of their decision by an unequivocal statement, specifying the services from which they wish to withdraw.

  • (8) The rules regarding statutory withdrawal apply exclusively to individuals who qualify as "Consumers" under the CPA. No such statutory right of withdrawal is granted to legal entities or clients acting within their business, commercial, or professional capacity.
  • (9) For clients who do not qualify as consumers, any contract cancellation terms must be negotiated and agreed upon individually in writing.

Art. 12. (1) The Consumer has the right to file a complaint for any non-conformity of the service with the contract/order when discrepancies with its description are discovered after performance.

  • (2) The Consumer may file a complaint regardless of whether a commercial guarantee has been granted.
  • (3) When filing a complaint, the Consumer may demand bringing the service into conformity with the contract, re-performance/correction of the service, a proportionate price reduction, or contract rescission and refund of the paid price pursuant to Art. 125, para. 3 of the CPA.
  • (4) The complaint may be submitted orally by phone or in writing to the Company's email or postal address. The Trader provides access to a complaint form (Schedule No. 2) on the Website.
  • (5) When filing a complaint, the Consumer shall indicate the subject of the complaint, the preferred remedy or claimed refund amount, and contact details.
  • (6) Filing a complaint does not prevent the Consumer from bringing legal action before the competent court.
  • (7) The Trader maintains a statutory register of consumer complaints. The Consumer shall be issued a confirmation email indicating the complaint registration number and the type of service.
  • (8) When satisfying a complaint, the Trader shall issue a written act in two copies and provide one copy to the Consumer.
  • (9) The following circumstances shall not constitute a service non-conformity or defect: factors beyond the Trader's reasonable control, including algorithmic updates, policy changes, account bans, or technical interruptions implemented by Google, Meta, TikTok, LinkedIn, or other third-party digital platforms, general market fluctuations, competitor actions, shifts in consumer purchasing behavior, or defective materials and instructions approved by the Client.

Section VII. Intellectual Property Rights

  • (3) Except where explicitly authorized, Users may not copy, modify, distribute, or broadcast any informational resources from the Website.
  • (4) The Trader shall take reasonable care to provide uninterrupted access to the Website services, but reserves the right to suspend or update services and remove materials at its discretion.
  • (5) Where deliverables (brand assets, graphic designs, marketing copy, video productions) created for the Client qualify as copyright works, unless otherwise agreed in writing, upon full payment of the agreed fee, the Client is granted a non-exclusive, perpetual license to use the Deliverables for the specific commercial purposes for which they were commissioned.
  • Art. 14. (1) Without prejudice to the Client's usage rights, the Trader reserves the perpetual right to use the created Deliverables and the Client's trade name and logo for self-promotional purposes, including showcasing them in the Company's portfolio, case studies, website, and commercial pitches as references for completed commercial work.
  • (2) Unless otherwise agreed, the Trader retains the moral right to be acknowledged as the author (attribution) of the created materials to the extent customary in advertising practice.

  • (4) The Company retains all rights, title, and interest in Provider Pre-existing IPRs and Know-how. The delivery of final results shall not obligate the Company to disclose or transfer proprietary source codes, underlying tools, or methodologies. Any new techniques or know-how devised during the performance shall remain the Company's property.
  • (5) Third-Party Materials (stock photos, video clips, sound recordings, fonts, plugins) incorporated into the Deliverables remain the property of their respective third-party licensors and may be used by the Client strictly subject to the applicable third-party license terms.

  • (3) The total aggregate liability of the Company to a Client (B2B) for any and all claims arising out of or in connection with the Agreement, whether in contract, tort, or otherwise, shall be limited to the total fees actually paid by the Client to the Company under the specific SOW under which the claim arose, except in cases of willful misconduct (intent) or gross negligence.
  • (4) In B2B relations, under no circumstances shall the Company be liable for any indirect, special, incidental, or consequential damages, loss of business profits, business interruption, loss of data, or loss of reputation.
  • (5) The Client (B2B) shall indemnify and hold harmless the Company, its managers, employees, and subcontractors against all claims, proceedings, damages, liabilities, regulatory penalties, and expenses (including reasonable legal fees) resulting from: 1.
